1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Customer") and ZeroShare, Inc., a Rhode Island corporation doing business as BeaverPaw ("BeaverPaw", "we", "us", "our"), governing your use of the BeaverPaw website (beaverpaw.com), the BeaverPaw mobile application, the BeaverPaw cloud platform, and BeaverPaw hardware devices (collectively, the "Service").

By accessing or using the Service, purchasing BeaverPaw products, or creating a BeaverPaw account, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, do not use the Service or purchase our products.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.

2. Product Description and Disclaimer

BeaverPaw is a motorcycle alarm system consisting of a purpose-built hardware device, a companion mobile application, and a cloud platform. The system provides security features including motion detection, alarm activation, phone-based control via Bluetooth Low Energy (BLE), WiFi cloud connectivity, push notifications, and over-the-air firmware updates.

IMPORTANT: BeaverPaw is a security deterrent and notification system. It is not a guarantee against theft, damage, or loss.

No alarm system can prevent all theft or tampering. BeaverPaw is designed to detect motion, alert you, and deter casual theft attempts. We do not warrant or guarantee that your motorcycle will not be stolen, damaged, or tampered with while using the Service. BeaverPaw is one component of a security strategy and should not be relied upon as the sole means of protecting your vehicle.

3. Purchases and Payments

All purchases through the BeaverPaw shop are processed by ZeroShare, Inc. using Stripe as our payment processor. By making a purchase, you agree to Stripe's terms of service in addition to these Terms.

Prices are listed in US Dollars and are subject to change without notice. Price changes will not affect orders that have already been confirmed. Applicable sales tax is calculated at checkout based on your shipping address and applicable state and local tax laws.

We accept major credit cards, debit cards, and other payment methods supported by Stripe. Your payment information is processed directly by Stripe and transmitted using TLS encryption. We do not receive, store, or have access to your full payment card number, CVV, or expiration date.

All sales appear on your statement as "ZEROSHARE, INC." or "ZEROSHARE*BEAVERPAW".

4. Shipping and Delivery

We currently ship to addresses within the United States. International shipping may be offered in the future. Orders are typically processed within 1–3 business days and shipped via USPS or UPS.

Estimated delivery times are provided at checkout and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather, customs, or other factors outside our control. Risk of loss and title for products pass to you upon delivery to the carrier.

If your order arrives damaged, contact support@beaverpaw.com within 7 days of delivery with photos of the damage. We will arrange a replacement or refund at our discretion.

5. Returns and Refunds

You may return unused, undamaged BeaverPaw products within 30 days of delivery for a full refund of the product price. Products must be returned in their original packaging with all included accessories and documentation.

Products that have been installed on a motorcycle, electrically modified, physically damaged by the customer, or returned without original packaging are not eligible for return.

Return shipping costs are the responsibility of the customer unless the return is due to a defect or error on our part. To initiate a return, contact support@beaverpaw.com with your order number. Refunds are processed within 10 business days of receiving the returned product and issued to the original payment method.

6. Limited Hardware Warranty

BeaverPaw hardware products are covered by a limited warranty of one (1) year from the date of original purchase ("Warranty Period"). This warranty covers defects in materials and workmanship under normal use and proper installation in accordance with our documentation.

This warranty does NOT cover:

• Damage caused by improper installation, incorrect wiring, or failure to follow installation instructions
• Damage caused by water, moisture, or environmental exposure beyond the device's rated protection level
• Damage caused by voltage spikes, reverse polarity, short circuits, or connection to unsuitable power sources
• Physical damage from drops, impacts, vibration, or crushing
• Damage caused by unauthorized modification, repair, or tampering
• Damage caused by firmware modification, flashing unauthorized firmware, or bypassing firmware signature verification
• Normal wear and tear or cosmetic damage that does not affect functionality
• Damage to your motorcycle or other property resulting from installation or use of the device

To make a warranty claim, contact support@beaverpaw.com with your order number, device serial number, and a description of the issue. We may request photos, diagnostic logs, or return of the device. At our sole discretion, we will repair, replace, or refund the defective product. Replacement products may be new or refurbished and are warranted for the remainder of the original Warranty Period.

EXCEPT FOR THE LIMITED WARRANTY ABOVE, BEAVERPAW HARDWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Software, Firmware, and Cloud Services

The BeaverPaw mobile application, cloud platform, and device firmware are licensed to you, not sold. We grant you a limited, non-exclusive, non-transferable, revocable license to use the software solely in connection with your BeaverPaw hardware device for personal, non-commercial use.

Cloud features — including remote access, push notifications, event history, and group sharing — are provided on an "as is" and "as available" basis. We strive for high availability but do not guarantee uninterrupted service. Cloud services may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

Cloud services are currently included with the purchase of a BeaverPaw device at no additional subscription cost. We reserve the right to introduce paid subscription tiers for premium cloud features in the future with at least 90 days' notice. Core alarm functionality (local BLE control, motion detection, relay activation) operates independently of the cloud and does not require internet connectivity.

We may deliver firmware updates to your device automatically over the air. These updates may modify device behavior, add features, or address security vulnerabilities. By using the Service, you consent to receiving automatic firmware updates.

8. Intellectual Property

The BeaverPaw device firmware, cloud platform, APIs, mobile application, website content, hardware designs, and branding are proprietary to ZeroShare, Inc. and are protected by copyright, trade secret, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

You may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, design, or algorithms of any BeaverPaw software or firmware
• Modify, tamper with, or replace the firmware running on BeaverPaw devices
• Copy, distribute, sublicense, or create derivative works of any BeaverPaw software
• Use the BeaverPaw name, logo, or branding without prior written permission
• Use the Service or any BeaverPaw hardware for competitive analysis or to build a competing product

Tampering with, modifying, or replacing the firmware on a BeaverPaw device voids the limited hardware warranty in Section 6 and releases ZeroShare, Inc. from any liability for damage to the device, your motorcycle, or other property resulting from such actions.

9. User Accounts

You must create a BeaverPaw account to use cloud features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information when creating your account and to update it as necessary. You must notify us immediately at support@beaverpaw.com if you believe your account has been compromised.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or our infrastructure.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems, other users' accounts, or devices you do not own
• Reverse engineer, decompile, or disassemble the cloud platform or mobile application
• Use the Service to interfere with or disrupt the security, integrity, or performance of our platform
• Resell, redistribute, or commercially exploit BeaverPaw products or cloud services without written authorization
• Install a BeaverPaw device on a motorcycle or vehicle you do not own or have legal authorization to modify
• Use the Service to stalk, harass, or monitor any person without their knowledge and consent
• Transmit any malware, viruses, or malicious code through the Service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEROSHARE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR BEAVERPAW PRODUCTS, INCLUDING BUT NOT LIMITED TO:

• Theft, damage, or loss of your motorcycle or other property, regardless of whether the alarm system was active
• Failure of the alarm system to detect, deter, or prevent theft or tampering
• False alarms or failure to trigger alarms
• Failure or delay of push notifications, SMS alerts, or other communications
• Damage to your motorcycle's electrical system caused by installation of the device
• Service interruptions, cloud platform downtime, or data loss
• Loss of data, unauthorized access to your account, or security breaches
• Actions or inactions of third-party service providers (Stripe, Auth0, AWS, shipping carriers)

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC BEAVERPAW PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZeroShare, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your installation of a BeaverPaw device on your or any other vehicle; (d) your violation of any applicable law or regulation; or (e) any dispute between you and a third party related to the Service.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution. Before filing any formal dispute, you agree to first contact us at legal@beaverpaw.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If we cannot resolve a dispute informally, you and ZeroShare, Inc. agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall be conducted by a single arbitrator in Providence, Rhode Island, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND ZEROSHARE, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may be brought in small claims court instead of arbitration.

Statute of Limitations. Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Providence County, Rhode Island.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes that materially affect your rights, we will provide at least 30 days' notice through email or the BeaverPaw app before the changes take effect.

Your continued use of the Service after modified Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZeroShare, Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
